Terms of Service

By accessing or using the website at tnmseo.com, scheduling a consultation, signing a service agreement, submitting a payment, or otherwise engaging with the services of Adnan Automations LLC (T&M Marketing Solutions), you represent and warrant that: (a) you have read and understood these Terms; (b) you have the legal capacity and authority to enter into this agreement on behalf of yourself or the entity you represent; and (c) you agree to be bound by all terms and conditions set forth herein and any additional terms incorporated by reference.

If you are entering into this agreement on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

Adnan Automations LLC reserves the right to modify these Terms at any time. We will provide advance notice of material changes as described in our Privacy Policy. Your continued use of our services after the effective date of any modification constitutes your acceptance of the revised Terms.

Adnan Automations LLC, operating as T&M Marketing Solutions, provides a suite of AI-powered marketing and business growth services. The specific services available include, but are not limited to:

• AI Marketing Automation: Deployment and management of AI-powered bots and automated workflows for social media management, content publishing, lead generation, reputation monitoring, and customer engagement.
• Virtual Identity Services: Creation and management of AI-generated virtual influencers, virtual salespersons, virtual podcasters, virtual streamers, and virtual trainers — including persona design, content production, and audience growth strategies.
• AI SEO and Paid Advertising: AI-assisted search engine optimization including keyword research, on-page optimization, technical SEO, and content strategy; management of paid advertising campaigns across Google Ads and Meta advertising platforms.
• Content Production: AI-assisted creation of written content, short-form video, long-form video, user-generated content (UGC) packages, and YouTube automation content packages.
• Web Development: Design and development of websites, landing pages, and web applications as described in individual project agreements.
• Business Consultation: Strategic advisory services regarding marketing systems, growth strategies, automation architecture, and operational efficiency.
• The Gauntlet System: Access to the full T&M Gauntlet — a comprehensive, integrated AI marketing system combining all of the above services under unified management and reporting infrastructure.

The specific services provided to each client, including scope, deliverables, timelines, and pricing, will be defined in a separate written Service Agreement or Statement of Work executed between the client and Adnan Automations LLC. In the event of any conflict between these Terms and an executed Service Agreement, the Service Agreement shall govern with respect to the specific services covered therein.

Services offered by Adnan Automations LLC are provided on a subscription or project basis as specified at the time of purchase or in the applicable Service Agreement.

Monthly Subscriptions

Monthly subscription services automatically renew at the end of each billing period unless cancelled in accordance with the cancellation policy set forth herein. By enrolling in a monthly subscription, you authorize Adnan Automations LLC and its payment processor, Stripe, Inc., to charge your designated payment method on a recurring basis at the applicable subscription rate.

Cancellation Policy

To cancel a monthly subscription, you must provide written notice of cancellation to Adnan Automations LLC at least thirty (30) days prior to your next billing anniversary date. Written notice must be sent to legal@tnmseo.com. Cancellation requests submitted fewer than thirty (30) days before the next billing date will take effect on the billing cycle following the required notice period. You will continue to have access to services through the end of the last paid billing period.

Setup and Onboarding Fees

Any setup fees, onboarding fees, or project initiation fees charged at the commencement of services are non-refundable. These fees compensate for the initial work, infrastructure deployment, and resource allocation performed by Adnan Automations LLC prior to or at the start of service delivery, regardless of whether the client subsequently cancels the ongoing service subscription.

Payment Processing

All payments for services provided by Adnan Automations LLC are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you authorize Stripe to process charges on behalf of Adnan Automations LLC. Your payment information is handled by Stripe in accordance with the Stripe Privacy Policy and is subject to Stripe’s Services Agreement.

Recurring Billing

For subscription services, your payment method will be charged on your subscription anniversary date each billing cycle. If a payment is scheduled to fall on a weekend or public holiday, it may be processed on the next available business day. It is your responsibility to ensure that your payment method remains valid, current, and has sufficient funds or credit available to cover recurring charges.

Failed Payments

In the event of a failed payment, Adnan Automations LLC will notify you via the email address on file and may make up to two (2) additional automated retry attempts within a seven (7) day window. If payment remains outstanding after this period, your account will be placed in a paused state and service delivery will be suspended until the outstanding balance is resolved. Adnan Automations LLC reserves the right to terminate service in the event of persistent non-payment after reasonable notice.

Price Changes

Adnan Automations LLC reserves the right to modify service pricing at any time. For existing subscribers, any price increase will take effect no earlier than thirty (30) days after written notice is provided to the email address associated with your account. If you do not agree to the price change, you may cancel your subscription prior to the effective date by following the cancellation procedure described in Section 3. Your continued use of services after the effective date of a price change constitutes acceptance of the new pricing.

Client-Owned Brand Assets

You retain full ownership of all pre-existing intellectual property, brand assets, trademarks, logos, and proprietary content that you provide to Adnan Automations LLC in connection with the delivery of services. Nothing in these Terms transfers ownership of your pre-existing intellectual property to Adnan Automations LLC. You grant Adnan Automations LLC a limited, non-exclusive, royalty-free license to use your brand assets solely as necessary to perform the services described in your Service Agreement.

Deliverables and Client Content

Unless otherwise specified in a written Service Agreement, creative deliverables produced by Adnan Automations LLC specifically for your account — such as original written content, social media graphics, ad creatives, and video content — shall be owned by you upon full payment for the applicable services in which those deliverables were included. Adnan Automations LLC reserves a non-exclusive portfolio right to reference such work for marketing and business development purposes unless you request otherwise in writing.

Company-Owned Systems and Infrastructure

Adnan Automations LLC retains sole and exclusive ownership of all proprietary systems, technology, methodologies, workflows, automation infrastructure, AI models, bot architectures, operational frameworks, and the Gauntlet platform. This includes, without limitation, the 21-bot AI infrastructure, automated publishing pipelines, lead generation frameworks, content scoring systems, and all underlying code, algorithms, and technical documentation created or maintained by Adnan Automations LLC. Access to and use of these systems is licensed to you solely for the purpose of receiving the services described in your Service Agreement and does not constitute a transfer of any ownership interest. Upon termination of services, all licenses to use Company-owned systems are immediately revoked.

Each party (“Disclosing Party”) may disclose to the other party (“Receiving Party”) certain confidential and proprietary information in connection with the services (“Confidential Information”). Confidential Information includes, but is not limited to, business strategies, marketing plans, client lists, financial data, technical systems, automation workflows, pricing structures, and any other information that a reasonable person would understand to be confidential given the context of disclosure.

Each party agrees to: (a) hold the other party’s Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the Disclosing Party’s prior written consent, except to employees, contractors, or subprocessors on a need-to-know basis who are bound by equivalent confidentiality obligations; and (c) use the Confidential Information solely for the purpose of performing or receiving the services described in the applicable Service Agreement.

Confidentiality obligations do not apply to information that: (i) was already known to the Receiving Party before disclosure; (ii) is or becomes publicly available through no fault of the Receiving Party; (iii) is independently developed by the Receiving Party without use of the Confidential Information; or (iv) is required to be disclosed by applicable law, regulation, or court order, provided the Receiving Party gives reasonable prior notice to the Disclosing Party where legally permissible.

Confidentiality obligations under this Section shall survive the termination of services for a period of three (3) years.

You acknowledge and agree that marketing results are inherently variable and cannot be guaranteed. Adnan Automations LLC (T&M Marketing Solutions) makes no guarantees, warranties, or representations regarding specific outcomes, including but not limited to revenue growth, follower counts, lead volume, conversion rates, search engine rankings, advertising return on investment, or any other performance metric.

Any projections, estimates, benchmarks, or performance expectations shared by Adnan Automations LLC — whether in sales presentations, proposals, case studies, or verbal communications — are based on historical client performance data, general industry trends, and good-faith estimates. Past performance is not indicative of future results. Marketing outcomes depend on numerous factors outside the control of Adnan Automations LLC, including market conditions, competitive dynamics, product quality, client responsiveness, platform algorithm changes, regulatory changes, and general economic conditions.

Adnan Automations LLC will perform services with reasonable professional care and in accordance with industry standards, but the services are provided “as is” and without any warranty of results. You agree that Adnan Automations LLC shall not be liable for any failure to achieve specific marketing outcomes.

To the fullest extent permitted by applicable law, Adnan Automations LLC and its members, officers, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages — including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, or reputational damage — arising out of or in connection with these Terms or the services, even if Adnan Automations LLC has been advised of the possibility of such damages.

In no event shall the total aggregate liability of Adnan Automations LLC to you for any claim arising out of or related to these Terms or the services exceed the total fees paid by you to Adnan Automations LLC in the three (3) calendar months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, the limitation above applies to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Adnan Automations LLCand its members, officers, employees, contractors, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• —Your breach of any representation, warranty, or obligation under these Terms;
• —Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights;
• —Any content, materials, data, or information you provide to Adnan Automations LLC in connection with the services;
• —Claims by your customers, employees, contractors, or other third parties arising from your business practices, products, or services;
• —Your use or misuse of the deliverables or services provided by Adnan Automations LLC.

Adnan Automations LLC reserves the right to assume exclusive control of any matter subject to indemnification by you. You agree to cooperate fully with Adnan Automations LLC’s defense of such claims upon request.

Governing Law

These Terms and any dispute arising out of or relating to these Terms, the services, or the relationship between you and Adnan Automations LLC shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles that would require application of the laws of another jurisdiction.

Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (“Dispute”) — including the determination of the scope or applicability of this agreement to arbitrate — shall be determined by binding individual arbitration administered by a recognized arbitration body under its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Arbitration shall be conducted in English. Nothing in this Section shall prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction to protect confidential information or intellectual property pending the resolution of arbitration.

Class Action Waiver

You and Adnan Automations LLC each waive any right to bring claims as a plaintiff or class member in any purported class action, collective action, private attorney general action, or other representative proceeding. All arbitration shall be conducted on an individual basis only.

Informal Resolution

Before initiating formal arbitration, the parties agree to attempt to resolve any Dispute informally by providing written notice describing the nature of the dispute and desired resolution. The parties shall negotiate in good faith for a period of thirty (30) days from receipt of such notice before either party may initiate formal arbitration proceedings.

Termination by Either Party

Either party may terminate an ongoing service agreement or subscription by providing the other party with at least thirty (30) days’ written notice. Notice must be provided via email to the contact address specified in the applicable Service Agreement or, in the absence of a Service Agreement, to legal@tnmseo.com (for notices to Adnan Automations LLC). Termination during a paid billing period will not result in a prorated refund unless otherwise specified in a written Service Agreement.

Immediate Termination for Cause

Adnan Automations LLC reserves the right to suspend or immediately terminate services without advance notice in the event that:

• —You materially breach these Terms or any executed Service Agreement and fail to cure such breach within ten (10) days of written notice from Adnan Automations LLC;
• —You engage in fraudulent, illegal, or abusive conduct in connection with the services;
• —You fail to make timely payment and the outstanding balance is not resolved within the period specified in Section 4;
• —Your use of the services creates or is likely to create legal liability for Adnan Automations LLC or third parties.

Effect of Termination

Upon termination of services for any reason: (a) all licenses granted to you under these Terms or any Service Agreement are immediately revoked; (b) you must cease all use of Company-owned systems and return or destroy any Confidential Information of Adnan Automations LLC in your possession; (c) all accrued and unpaid fees become immediately due and payable; and (d) the provisions of these Terms that by their nature should survive termination — including Sections 5 (Intellectual Property), 6 (Confidentiality), 7 (Results Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), and 10 (Governing Law) — shall survive and remain in full force and effect.

These Terms of Service govern the relationship between you and Adnan Automations LLC (T&M Marketing Solutions) and supersede all prior oral or written understandings relating to the subject matter herein. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force. These Terms do not create any partnership, joint venture, employment, or agency relationship between the parties. The failure of Adnan Automations LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
